For the intentions of the Terms and Conditions as outlined below regarding SmallBusinessProjectManagement.com (hereafter “Small Business Project Management,” “we,” “us,” or “our”). Small Business Project Management offers its services through the Small Business Project Management website, www.smallbusinessprojectmanagement.com (the “Website”).

1. INTRODUCTION AND ACCEPTANCE

Please read this Terms of Service Agreement (these "Terms") carefully, as it constitutes legally binding terms and conditions between you, as the user of our Sites and Apps, and Small Business Project Management and its affiliates ("Small Business Project Management" "we" "us" or "our"). These Terms apply to your use of and access to our Sites and Apps, and apply whether you are accessing our Sites and Apps via a wireless or mobile device, a tablet a personal computer or any other technology or device (each, a "Device"). If you are entering into these Terms in connection with your employment, you represent to us that you are authorized to bind your employer and all references to "you" and "your" shall refer to you and your employer. If you do not agree to these Terms, then you have the choice not to utilize our Sites or Apps.

These Terms, and any additional terms we may provide regarding other products and services we may offer you, such as the terms relating to our Best Rate Commitment and Small Business Project Management Card Privileges, are incorporated in these Terms (the "Additional Terms"). Transparency over how we collect, safeguard and use your information is of paramount importance to us. For more information regarding the collection, use, sharing and transfer of your information, please refer to our Privacy & Cookie Policy. Any capitalized terms used but not defined herein shall have their respective meanings in the Privacy & Cookie Policy.

    These Terms of Use (“Terms”) explain the rules for your use of the Website. Please read these Terms carefully, and let us know if you have any questions. 

    Each time you use or access the Website, you agree to be bound by these Terms and our Privacy Policy (and any other policies or procedures incorporated in these Terms), as amended from time to time with or without notice to you. In addition, if you are using a particular service on the Website, including services accessed via the Website, you will be subject to any rules or guidelines applicable to those services, and they will be incorporated by reference within these Terms.     WE ONLY SERVE CLIENTELE WHO ARE LEGAL CITIZENS OF THE UNITED STATES AND ARE AT LEAST EIGHTEEN YEARS OF AGE. NO EXCEPTIONS. IF YOU DO NOT MEET THESE CONDITIONS YOU ARE USING OUR WEBSITE AT YOUR OWN RISK.

    We do not provide medical, financial, tax, or legal advice. All choices are your own. All work is performed remotely via phone, text, and email. We do not conduct any of our sessions via video conference and/or VOIP at this time.

    Please note, with all of our consulting services, where we do offer assistance with solution selection and will do our best to prepare you with the knowledge you need to make the best decisions you feel you need to make for your short and long-term visions, objectives, and goals, we will not make any decisions for you. We will provide input if asked; however, we will always lean towards the solution that we feel will allow you to retain the most control over your choices and your data.

    Additionally, all consulting clients may be required to sign onto an E & O business policy and also possibly be required to pay a very reasonable retainer fee to help cover upfront costs. This is determined by the size, duration, and complexity of the request, or assignment.

  • This Website and the services provided to you on and via our Website are provided on an “AS IS” basis. You agree that Small Business Project Management reserves the right to modify or discontinue provision of the Website, and to remove the data you provide, either temporarily or permanently, at any time, without notice and without any liability towards you. Small Business Project Management will not be held responsible or liable for timeliness, removal of information, failure to store information, inaccuracy of information, or improper delivery of information.

    You are responsible for both making all arrangements necessary for you to access Small Business Project Management and for ensuring that all persons who access Small Business Project Management through your Internet connection or access credentials are aware of and comply with these Terms.

    You acknowledge and agree that Small Business Project Management may suspend or terminate your right to access or use the Website immediately and without notice if we have reason to believe you have violated these Terms or any of our other policies or applicable law. Upon suspension or termination of your access to the Website, you continue to be bound by these Terms and the policies and procedures incorporated herein by reference until fully performed.

    Small Business Project Management uses commercially reasonable safeguards to help keep User Content and accounts secure and requires User Credentials to verify your identity before granting you access to your account. Despite these steps, the security of information transmitted over the Internet can never be fully secured, and Small Business Project Management cannot ensure the security of any information you transmit or guarantee that information on the Website may not be accessed, disclosed, altered, or destroyed.

    You acknowledge and agree that Small Business Project Management may take appropriate legal action, including without limitation, referral to law enforcement, for any illegal or unauthorized use of the Website.

    Without limiting the foregoing, we have and reserve the right to cooperate fully with any law enforcement authorities or court order requesting or directing us to disclose the identity or other information of anyone posting any materials on or through the Website. YOU WAIVE AND AGREE TO HOLD HARMLESS SMALL BUSINESS PROJECT MANAGEMENT AND ITS AFFILIATES, LICENSEES, AND SERVICE PROVIDERS FROM ANY CLAIMS RESULTING FROM ANY ACTION TAKEN BY ANY OF THE FOREGOING PARTIES DURING, OR TAKEN AS A CONSEQUENCE OF, INVESTIGATIONS BY EITHER SUCH PARTIES OR LAW ENFORCEMENT AUTHORITIES.

Certain features of our Sites and Apps may be subject to heightened age and/or other eligibility requirements and restrictions. If you are a user under the age of 18, please review these Terms with your parent or guardian. Your parent or guardian should agree to these Terms on your behalf and parental discretion is advised for all users under the age of 18, as all use by anyone under the age of 18 is not premitted.

  • To use the Website, you must be able to form a legally binding contract with us; be over the age of 18, be a legal citizen of the United States of America, and not have had a previous Small Business Project Management account disabled by Small Business Project Management. If you do not meet all of these requirements, you may not access or use this Website for any reason. There are no exceptions to this.

    Ownership
    As between you and Small Business Project Management, Small Business Project Management owns the Sites and Apps, including all of the content (e.g., audio-visual content, photographs, audio, images, illustrations, graphics, video, copy, software, etc.), code, data and materials displayed on or otherwise made available through the Sites and Apps, including as contained in any advertisements and the “look and feel” of such content (collectively, “Content”). This includes all intellectual property and proprietary rights in such Content. When you use the Sites or Apps, or download materials from the Sites or Apps, you do not acquire any ownership of any such Content. The Sites and Apps are only for your personal, non-commercial use. You may not make any commercial use of the Sites or Apps, or any Content made available on the Sites and Apps, unless you have received our prior written permission.

    Trademarks
    The trademarks, logos, service marks, and trade names (collectively the “Trademarks”) displayed on the Sites and Apps are registered and unregistered Trademarks of Small Business Project Management and may not be used in any manner that is likely to cause customer confusion, or that disparages or discredits Small Business Project Management. You do not receive, by implication or otherwise, any license or right to use any Trademark or Content displayed on the Sites and Apps without our prior written permission, which may be withheld in our sole discretion.

    Restrictions
    Except as we expressly permit, you may not download, display, copy, distribute, modify, perform, transfer, create derivative works from, sell, or otherwise exploit any Content on the Sites and Apps.     The Website and their entire contents, features, and functionality (including but not limited to all information, software, text, displays, images, video, and audio, and the design, selection, and arrangement thereof) are owned by Small Business Project Management, its licensors, or other providers of such material and are protected by United States and international copyright, trademark, patent, trade secret, and other intellectual property or proprietary rights laws.

    These Terms permit you to use Small Business Project Management for your personal use only. You must not reproduce, distribute, modify, create derivative works of, publicly display, publicly perform, republish, download, store, or transmit any of the material on the Website, except (a) to temporarily store copies of materials on your computer incidental to your use of the Website; (b) to store files that are automatically cached by your web-browser for display purposes; and (c) to print or download one copy of a reasonable number of pages from the Website for your own personal use (if you have created an account on behalf of an entity, personal use means internal business use only). If we provide social media features with certain content, you may take such actions as are enabled by those social media features. 

    You must not (a) modify any materials on the website; (b) use any illustrations, photographs, video or audio sequences, or any graphics separately from the accompanying text; (c) delete or alter any copyright, trademark, or other proprietary rights notices from copies of materials from the Website; (d) use the Website in any way that violates any applicable federal, state, local, or international law or regulation, for the purpose of exploiting, harming, or attempting to exploit or harm minors; for sending, knowingly receiving, uploading, downloading, using or reusing any material that does not comply with our content standards set out in these Terms.

    Small Business Project Management name, the Small Business Project Management logo, and all related names, logos, product and service names, designs, and slogans are trademarks of Small Business Project Management or its affiliates or licensors. You must not use such marks without the prior written permission of Small Business Project Management. All other names, logos, product and service names, designs, and slogans used on the Website are the trademarks of their respective owners.

     

  • Reservation of Rights

    Small Business Project Management reserves all of Small Business Project Management’s rights, including but not limited to any and all copyrights, trademarks, patents, trade secrets, and any other proprietary right that Small Business Project Management may have in respect of the Website, their content, and goods and services that may be provided. The use of Small Business Project Management’s rights and property requires Small Business Project Management’s prior written consent. By making services available to you, Small Business Project Management is not providing you with any implied or express licenses or rights, and you will have no rights to make any commercial use of the Website without Small Business Project Management’s prior written consent.

    All photographs displayed on Small Business Project Management’s Website are original works of authorship owned and copyrighted by independent artists and contributors, as well as Jody Raman, the owner of Small Business Project Management. You may not copy, display, reproduce, distribute, use for commercial gain, or otherwise exploit said photographs. If you print, copy, modify, download, or otherwise use or provide any other person with access to any part of the Website in breach of these Terms, your right to use the Website will immediately cease and you must, at our option, return or destroy any copies of the materials you have made. No right, title, or interest in or to Small Business Project Management or any content on the Website is transferred to you, and all rights not expressly granted are reserved by Small Business Project Management.   • Notification of Copyright Infringement

    If you believe that your property has been used in any way that could be considered a copyright infringement or a violation of your intellectual property rights, Small Business Project Management’s copyright agent may be contacted by CLICKING HERE.

    4. DIGITAL MILLENNIUM COPYRIGHT ACT.

    We require users to respect our copyrights, trademarks, and other intellectual property rights and shall enforce same. We likewise respect the intellectual property of others. If you believe that our Sites and Apps contain elements that infringe your copyrights in your work, you may submit a notification pursuant to the Digital Millennium Copyright Act (“DMCA”) by providing our Designated Agent (as set forth below) with the following information in writing (see 17 U.S.C. 512(c)(3) for further details):

    A physical or electronic signature of a person authorized to act on behalf of the owner of an exclusive right that is allegedly infringed;

    Identification of the copyrighted work claimed to have been infringed, or, if multiple copyrighted works on our Sites and Apps are covered by a single notification, a representative list of such works on our Sites and Apps;

    Identification of the material that is claimed to be infringing or to be the subject of infringing activity and that is to be removed or access to which is to be disabled and information reasonably sufficient to permit us to locate the material;

    Information reasonably sufficient to permit us to contact you, such as an address, telephone number, and, if applicable, email address;

    A statement that you have a good faith belief that use of the material in the manner complained of is not authorized by the copyright owner, its agent or the law; and

You acknowledge and agree that if you fail to comply with all of the requirements of this Section 4, your DMCA notice may not be valid.

    If you believe that your content was removed (or to which access was disabled) is not infringing, or that you have the authorization from the copyright owner, the copyright owner’s agent, or pursuant to applicable law, to make such content available to Small Business Project Management for use on our Sites and Apps, you may send a counter-notice containing the following information to our Copyright Agent:

    Your physical or electronic signature;

Unless the copyright owner files an action seeking a court order against the content provider or the user, the removed content may be replaced, or access to it restored, in 10 to 14 business days or more after receipt of the counter-notice, at Small Business Project Management’s sole discretion.

ABSOLUTELY NO ONE HAS BEEN GRANTED CONSENT OR PERMISSION TO USE ANY CONTENT, EITHER WRITTEN OR VOICE, WITHOUT FIRST RECEIVING WRITTEN CONSENT AND/OR PERMISSION DIRECTLY FROM THE OWNER, JODY RAMAN, OR JO RAMAN. ANYONE CHOOSING TO VIOLATE SECTION 4 OF THESE TERMS AND CONDITIONS DOES SO AT THEIR OWN RISK. IT WILL BE CONSIDERED TRESPASSING. PLEASE BE ADVISED THIS SERVES AS YOUR OFFICIAL NOTICE.

    5. COACHING SERVICES AND/OR EVENTS SCHEDULED AND/OR BOOKED

    The following applies to coaching services and/or events scheduled and/or booked through SmallBusinessProjectManagement.com:

    In addition to the Additional Terms that may be applicable to Small Business Project Management’s other businesses, as well as any associated properties and/or activities associated with such businesses in the Small Business Project Management portfolio and/or on the shared Small Business Project Management business property, the following applies to coaching services and/or events scheduled/booked through the SmallBusinessProjectManagement.com website:

    Policies regarding cancellation of services and/or events, specific information about services and/or events, specific programs, across any and all other Small Business Project Management affiliated businesses, etc. may vary between properties. Information regarding individual rates, taxes, applicable coaching and/or event fees, and/or other charges and cancellation policies are displayed on each individual business’s website at the time you inquire about a coaching service and/or event.

    When you book your coaching session with Small Business Project Management, USD rates will apply. As we do not conduct business outside of the United States of America, currency may be converted to local currency when you transact with our company, based on the exchange rate used by said business at such time. Any charges imposed by your credit card company, banking or financial institution based on currency conversion or exchange rate are not within Small Business Project Management’s or the applicable business’s control and will not be included in your coaching service rate or amount charged for other products or services purchased via our Sites and Apps.

    Coaching services and/or events scheduled and/or booked by one or more individuals or by an agency, on behalf of one or more guests, for 10 or more rooms at the same coaching service and/or event for the same duration, must be directly through Small Business Project Management. If 10 or more individuals are scheduled and/or booked at the same coaching service and/or event for the same length of time via any other method (e.g., EventBrite.com, etc.), we reserve the right to cancel or impose additional restrictions on such coaching services and/or events.

    • Eligibility requirements for certain rates, such as AAA membership or senior citizen, require that you submit proof for verification purposes at the time you schedule and/or book your coaching session and/or event. If you do not qualify for such rates, or are otherwise not able to verify your eligibility, we will not be obligated to honor such rate and may charge you the full coaching service and/or event rate.

    LET IT BE KNOWN THAT ANYONE FOUND TO BE IN VIOLATION OF SECTION 5 OF THESE TERMS AND CONDITIONS, EITHER IN PART OR IN WHOLE, SHALL BE CONSIDERED TRESPASSING. ABSOLUTELY NO ONE HAS BEEN GRANTED CONSENT OR PERMISSION TO USE ANY CONTENT, EITHER WRITTEN OR VOICE, WITHOUT FIRST RECEIVING WRITTEN CONSENT AND/OR PERMISSION DIRECTLY FROM THE OWNER, JODY RAMAN, OR JO RAMAN. ANYONE CHOOSING TO VIOLATE SECTION 5 OF THESE TERMS AND CONDITIONS DOES SO AT THEIR OWN RISK. IT WILL BE CONSIDERED TRESPASSING. THIS INCLUDES BUT SHALL NOT BE LIMITED TO UNLAWFUL RECORDING OF ANY JODY RAMAN AND/OR SMALL BUSINESS PROJECT MANAGEMENT EVENT ON ANY DEVICE WITHOUT FIRST RECEIVING PERMISSION FROM JODY RAMAN HERSELF. PLEASE BE ADVISED THIS SERVES AS YOUR OFFICIAL NOTICE.

    6. User Registration.

  • Your Responsibilities and Registration Obligations
  • In order to use the Website or certain parts of it, you may be required to register for a user account on the Website. In this case, you agree to provide truthful information when requested, and — if a minimum age is required for eligibility for a user account — you undertake that you are at least the required age. By registering for a user account, you explicitly agree to these Terms, including any amendments made by Small Business Project Management that are published herein.

    In order to access and use certain content, features and functionality of our Sites and Apps, we may require that you register for an account (“User Account”) by creating a username and password combination (“User Credentials”), and providing certain personal information. We collect, use and store such information in accordance with our Privacy & Cookie Policy. You are solely responsible for the accuracy and content of your information. You are also responsible for maintaining the strict confidentiality of your User Credentials and you are responsible for any access to or use of our Sites and Apps by you or any person or entity using your User Credentials. You agree to immediately notify Small Business Project Management of any unauthorized use of your User Credentials or User Account or any other breach of security. It is your sole responsibility to (a) control the dissemination and use of your User Credentials and User Account, (b) control access to your User Credentials and User Account, and (c) cancel your User Account on our Sites and Apps. We reserve the right to deny access, use and registration privileges to any User of our Sites and Apps if we believe you have provided inaccurate information or if there is a question about the identity of the person trying to access our Sites and Apps. Small Business Project Management shall not be responsible or liable for any loss or damage arising from your failure to comply with this Section 6.

    Please note: website registration is required to be included in any Small Business Project Management Group private group channels, newsletters, emails, and/or events both offline and online. We appreciate your understanding.

    Payment Method and Terms
    Our Sites and Apps may accept certain methods of payment which will be indicated at the time of purchase as forms of payment (each, an “Authorized Payment Method”), subject to certain restrictions, including, without limitation, territory restrictions, bank/payment card restrictions, spending limits, third party service provider restrictions or otherwise, which may prevent the processing of your order. If a transaction has been declined online due to payment card issues, please ensure all data is correct and resubmit.     Refunds

    All work is performed at a very fair and reasonable flat or hourly rate, quoted prior to work beginning and is non-refundable once services are rendered either in part or in whole. If any work is performed that was not quoted with the original scope of work, it will be considered as a separate task and billed separately.

    By contracting us for any of our consulting services, you understand and agree If at any given point within a project, if you as the client, and/or the owner of Small Business Project Management determines there is a need to terminate the remaining portion of the contract, all services rendered to that point will be due in full. No Exceptions.

    PLEASE NOTE: There are no refunds for any of the Small Business Project Management coaching products and/or services. All purchases are non-refundable.     Additional Terms and Conditions

If any provision of these Terms is held to be illegal, invalid or unenforceable, this shall not affect any other provisions and these Terms shall be deemed amended to the extent necessary to make it legal, valid and enforceable. Any provision which must survive in order to allow us to enforce its meaning shall survive the termination of these Terms; however, no action arising out of these Terms or your use of our Sites and Apps, regardless of form or the basis of the claim, may be brought by you more than one year after the cause of action has arisen (or if multiple causes, from the date the first such case arose). The failure of Small Business Project Management to exercise or enforce any right or provision of these Terms will not operate as a waiver of such right or provision.

    B. These Terms and the rights of the parties hereunder shall be governed by and construed in accordance with the laws of the State of Pennsylvania, exclusive of conflict or choice of law rules. Any dispute, claim or controversy arising out of or relating to these Terms or the breach, termination, enforcement, interpretation or validity thereof, including the determination of the scope or applicability of this agreement to arbitrate, shall be determined by arbitration in Dauphin County, Pennsylvania before one arbitrator. The arbitration shall be administered by JAMS pursuant to JAMS’ Streamlined Arbitration Rules and Procedures. Judgment on the award may be entered in any court having jurisdiction. This clause shall not preclude parties from seeking provisional remedies in aid of arbitration from a court of appropriate jurisdiction. The parties shall maintain the confidential nature of the arbitration proceeding and the award, including the hearing, except as may be necessary to prepare for or conduct the arbitration hearing on the merits, or except as may be necessary in connection with a court application for a preliminary remedy, a judicial challenge to an award or its enforcement, or unless otherwise required by law or judicial decision. The parties acknowledge that these Terms evidence a transaction involving interstate commerce. Any arbitration conducted pursuant to the terms of these Terms shall be governed by the Federal Arbitration Act (9 U.S.C., Secs. 1-16). In any arbitration arising out of or related to these Terms, the arbitrator shall award to the prevailing party, if any, the costs and attorneys’ fees reasonably incurred by the prevailing party in connection with the arbitration. If the arbitrator determines a party to be the prevailing party under circumstances where the prevailing party won on some but not all of the claims and counterclaims, the arbitrator may award the prevailing party an appropriate percentage of the costs and attorneys’ fees reasonably incurred by the prevailing party in connection with the arbitration. Each of you and Small Business Project Management agree to adopt and agree to implement the JAMS Optional Arbitration Appeal Procedure (as it exists on the effective date of these Terms) with respect to any final award in an arbitration arising out of or related to these Terms.

    For any dispute you have with Small Business Project Management, you agree to first contact us and try to resolve the dispute with us informally. If we need to contact you, we will do so at the email address associated with your Small Business Project Management account. If Small Business Project Management has not been able to resolve the dispute with you informally, we each agree to resolve any claim, dispute, or controversy (excluding claims for injunctive or other equitable relief) arising out of or in connection with or relating to these Terms through (for qualifying claims) in small claims court. We will not participate in any arbitration as a means of settling disputes.

    Nothing in this Section shall prevent either party from seeking injunctive or other equitable relief from the courts, including for matters related to data security, intellectual property or unauthorized access to the Website.     NOTHING IN THESE TERMS OF SERVICE SHALL AFFECT ANY NON-WAIVABLE STATUTORY RIGHTS THAT APPLY TO YOU. To the extent any claim, dispute or controversy regarding Small Business Project Management is not arbitrable under applicable laws or otherwise: you and Small Business Project Management both agree that any claim or dispute regarding Small Business Project Management will be resolved exclusively in accordance with these Terms.

    PLEASE NOTE: The Small Business Project Management Technology & Operations compliance policy applies to anyone requesting to be added to the Small Business Project Management system(s) for any reason. This includes any and all paid staff hired to any position within Small Business Project Management by anyone for any reason. Only legal citizens of the United States of America over the age of 18 are being approved for access to the Small Business Project Management system(s) at this time. We apologize for any inconvenience this may cause and appreciate your understanding.

    Policy One - There shall be absolutely no dissemination of any information anywhere, private or public, for any reason, including Telegram, Signal, or any other social media channels, public groups, and/or private groups regarding the status of any citizen and/or volunteer, including their current position(s) within the Small Business Project Management organization without first gaining written approval from both the Small Business Project Management Compliance & Communications Leadership Team and the Small Business Project Management Technology & Operations Leadership Team.     Step One - Any and all requests to apply for a staff position wthin Small Business Project Management go straight through the Small Business Project Management website by checking out through the "Request To Apply For A Staff Position" product link. There will be no exceptions to Step One of the Small Business Project Management Human Resources (HR) Compliance On Boarding Policy for any reason.

    Step Two- The Small Business Project Management's Technical & Operations Leadership Team makes a determination on whether or not they feel the new staff candidate is a security risk to the Small Business Project Management community, the Small Business Project Management Leadership teams, or to the Small Business Project Management system(s).

    Step Three - The Small Business Project Management's Compliance & Communications Leadership Team and/or the Small Business Project Management's Technology & Operations Leadership Team schedule the new staff candidate for a human resources initial on boarding screening session. The screening session could be with any combination of Small Business Project Management staff from the Compliance & Communications Leadership Team and/or the Technology & Operations Leadership Team.

    Step Four - Once the Small Business Project Management's Compliance & Communications Leadership Team and the Small Business Project Management's Technology & Operations Leadership Team have completed the screening process with the candidate, both teams discuss if they feel the new staff candidate would be most suited for the Small Business Project Management organization's long term vision.

    Step Five - Once both teams are in alignment on their decision, someone will reach back out to the new staff candidate to let them know their decision and, if approved, what next steps they need to take.

    (ii) The failure of either party to assert any right under these Terms will not be considered to be a waiver of that party’s right, and the said right will remain in full force and effect;

    As we hold nexus in Pennsylvania, our services are not taxable.  However, our small business services may be able to be claimed as an expense for tax purposes. We do not provide financial or legal advice. All choices are your own. All work is performed remotely via phone, text, and email. We do not conduct any of our sessions via video conference at this time.

    Please note, with all of our consulting services, where we do offer assistance with solution selection and will do our best to prepare you with the knowledge you need to make the best decisions you feel you need to make for your short and long-term visions, objectives, and goals, we will not make any decisions for you. We will provide input if asked; however, we will always lean towards the solution that we feel will allow you to retain the most control over your choices and your data.

If you are contacting us with absolutely any unsolicited marketing, your contact submission form, as well as your email and other contact information, will be instantly deleted from our system(s) with no response.
